Please refer to PlateIT’s privacy policy, available [here] (the “Privacy Policy”) for information on how PlateIT collects, uses and discloses personal information from Users of the Site. By using the Site, you agree to our use, collection and disclosure of personal information in accordance with the Privacy Policy.
As between you and PlateIT, the Site, including all underlying technology and any content and materials made available through the Site (other than User Content), software, images, text, graphics, illustrations, logos, trademarks, service marks, copyrights, photographs, audio, videos, music, the “look and feel” of the Site, and all intellectual property rights related thereto (collectively, the “PlateIT Content”), are the property of PlateIT or its licensors, and are protected by Canadian and international copyright laws, and all rights to the Site and such PlateIT Content are expressly reserved. All trademarks, registered trademarks, product names and company names or logos mentioned in the Site are the property of their respective owners. Reference to any of the foregoing does not constitute or imply endorsement, sponsorship or recommendation thereof by PlateIT.
PlateIT grants you a limited, revocable, non-exclusive, non-sublicensable license to access and use the Site and PlateIT Content. You are not permitted to modify, delete, or alter the Site, PlateIT Content, or any copyright, trademark, or other proprietary rights notices contained therein.
You shall not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site or any PlateIT Content, except for copies automatically downloaded or temporarily stored by your browser or device as necessary for normal access to and use of the Site.
Except as expressly permitted above, any use of any portion of the PlateIT Content or the Site without PlateIT’s prior written permission is prohibited. Without limiting the foregoing, PlateIT trademarks may not be used without our express prior written consent. Unauthorized use may also violate applicable laws, including, without limitation, copyright and trademark laws. Except for the limited license expressly granted in these Terms, no license to any intellectual property rights is granted by implication, estoppel, or otherwise. PlateIT may revoke your license or restrict your access to the Site as set out in Section 12 (Termination/Modification of License).
You represent and warrant that your use of the Site and the PlateIT Content will be consistent with this license and will not infringe or violate the rights of any other party or breach any contract or legal duty to any other parties or violate any applicable law.
You are prohibited from circumventing or attempting to circumvent the security of this Site, including, without limitation: (a) accessing any content and data that is not intended for you; (b) attempting to breach or breaching any security and/or authentication measures; (c) restricting, disrupting or disabling service to users, hosts, servers, or networks; (d) forging or falsifying TCP/IP packet headers or other source-identifying information in communications with the Site; (e) attempting to interfere or interfering with PlateIT’s ability to monitor or maintain the security of the Site; (f) uploading, transmitting, or introducing any virus, Trojan horse, worm, logic bomb, or other malicious code or technologically harmful material; (g) attacking the Site via a denial-of-service attack, distributed denial-of-service attack, flooding, or other means intended to overwhelm or crash the Site; and (h) otherwise attempting to interfere with the proper working of the Site.
Users of the Site may be permitted to submit, transmit, or otherwise make available to us any information, messages, resumes, documents and other materials through the Site (collectively, “User Content”).
By submitting User Content through the Site, you authorize PlateIT and its service providers acting on its behalf to transmit, store, copy and use that User Content solely as necessary to respond to your inquiry or assess your employment application, including retaining your resume and related application materials to consider you for future employment opportunities, as described in our Privacy Policy. You retain any ownership rights you have in your User Content.
You are responsible for the accuracy of User Content you submit through the Site. Submission of User Content does not guarantee a response, an interview, or an offer of employment.
You agree not to submit, transmit or otherwise make available to the Site any User Content that:
The Site may contain links to third-party web sites (“Third-Party Sites”) and third-party content (“Third-Party Content”). You use links to Third-Party Sites and any Third-Party Content provided there at your own risk. PlateIT does not monitor or have any control over, and makes no claim or representation regarding, Third-Party Content or Third-Party Sites. PlateIT provides these links only as a convenience, and a link to a Third-Party Site or Third-Party Content does not imply PlateIT’s endorsement, adoption or sponsorship of, or affiliation with, such Third-Party Site or Third-Party Content. PlateIT accepts no responsibility for reviewing changes or updates to, or the quality, content, policies, nature or reliability of, Third-Party Content, Third-Party Sites, or web sites linking to the Site. Third-Party Sites are governed by their own terms and privacy policies. You should review applicable terms and policies, including, without limitation, privacy and data gathering practices, of any Third-Party Site, and you should make whatever investigation you feel is necessary or appropriate before proceeding with any transaction with any third party.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND PLATEIT CONTENT ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PLATEIT DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. PLATEIT DOES NOT WARRANT THAT PLATEIT CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR-FREE.
PLATEIT DOES NOT WARRANT THAT ACCESS TO THE SITE WILL BE UNINTERRUPTED OR THAT THE SITE OR PLATEIT CONTENT WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE SITE MAY BE TEMPORARILY UNAVAILABLE FOR MAINTENANCE OR OTHER REASONS. NOTHING IN THIS SECTION EXCLUDES OR LIMITS ANY WARRANTY, OBLIGATION OR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
To the fullest extent permitted by applicable law, you waive and shall not assert any claims or allegations of any nature whatsoever against PlateIT, its affiliates or subsidiaries, their contractors, vendors or other partners, any of their successors or assigns, or any of their respective officers, directors, agents or employees (collectively, the “Released Parties”) arising out of or in any way relating to your use of the Site, PlateIT Content, or Third-Party Content, including, without limitation, any claims or allegations relating to the alleged infringement of proprietary rights, alleged inaccuracy of the Site, PlateIT Content or Third-Party Content, or allegations that any Released Party has or should indemnify, defend or hold harmless you or any third party from any claim or allegation arising from your use or other exploitation of the Site, PlateIT Content or Third-Party Content. You use the Site, PlateIT Content, and Third-Party Content at your own risk.
To the fullest extent permitted by applicable law and without limitation of the foregoing, neither PlateIT nor any other Released Party shall be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of the Site, PlateIT Content or Third-Party Content, including without limitation any damages caused by or resulting from your reliance on the Site, PlateIT Content, or Third-Party Content, or resulting from mistakes, errors, omissions, interruptions, deletion of User Content or other data, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from acts of God, communications failure, theft, destruction or unauthorized access to records, programs, or systems used to operate the Site or process User Content submitted through the Site.
To the fullest extent permitted by applicable law, the total aggregate liability of PlateIT and the other Released Parties, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to the use of the Site, PlateIT Content, or Third-Party Content will not exceed C$100.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless PlateIT and the other Released Parties from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms or your violation of the rights of any third party.
Notices that we give you (other than notice of amendment of these Terms, which is discussed in the introduction of these Terms) may be provided in any of the following ways. First, we may email you at the contact information you provide when providing information to us through the Site, if any. Second, we may post the notice elsewhere on the Site. When we post notices on the Site, we post them in the area of the Site suitable to the notice. It is your responsibility to periodically review the Site for notices.
The Site is controlled by PlateIT and operated by it from its offices in London, Ontario. You and PlateIT both benefit from establishing a predictable legal environment regarding the Site. Therefore, you and PlateIT explicitly agree that all disputes, claims or other matters arising from or relating to your use of the Site will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Except where prohibited by applicable law, any claim, dispute or controversy (whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether pre-existing, present or future) arising out of or relating to (a) these Terms; (b) your access to and use of the Site or PlateIT Content; or (c) statements, advertisements or promotions made available through the Site (collectively, a “Claim”) will be referred to and determined by a sole arbitrator (to the exclusion of the courts). Except where prohibited by applicable law, you waive any right you may have to commence or participate in any class action against PlateIT related to any Claim and, where applicable, you also agree to opt out of any class proceedings against PlateIT. If you have a Claim, you should give written notice to arbitrate at the email address specified below. If we have a Claim, we will give you notice to arbitrate at your address or contact information we have on file (if any). Arbitration will be conducted by one arbitrator pursuant to the commercial arbitration laws and rules in effect on the date of the notice in the Province of Ontario.
To the extent arbitration as described in the immediately preceding paragraph is prohibited by applicable law, you agree that all Claims will be heard and resolved in a court of competent jurisdiction located in London, Ontario. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts.
If you choose to access the Site from locations other than Ontario, you will be responsible for compliance with all local laws of such other jurisdiction and you agree to indemnify PlateIT and the other Released Parties for your failure to comply with any such laws.
Subject to applicable law and these Terms, PlateIT reserves the right, in its sole discretion, without any notice or liability to you, to (a) terminate your license to use the Site, or any portion thereof; (b) block or prevent your future access to and use of all or any portion of the Site or PlateIT Content; (c) change, suspend or discontinue any aspect of the Site or PlateIT Content; and (d) impose limits on the Site or PlateIT Content.
PlateIT may terminate these Terms and your use of the Site at any time. If these Terms expire or terminate for any reason, Sections 2 (PlateIT Content), 8 (Warranty Disclaimer), 8 (Limitation of Liability; Indemnity), 9 (Communications), 10 (Applicable Law and Venue), 11 (Termination/Modification of License) and 13 (Miscellaneous), and any representation or warranty you make in these Terms, shall also survive indefinitely.
If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. PlateIT may assign any or all of its rights hereunder to any party without your consent. You are not permitted to assign any of your rights or obligations hereunder without the prior written consent of PlateIT, and any such attempted assignment will be void and unenforceable. These Terms constitute the entire agreement between you and PlateIT regarding your use of the Site, and supersede all prior or contemporaneous communications whether electronic, oral or written between you and PlateIT regarding your use of the Site.
